These Website Terms of Use ("Terms") govern access to and use of the public website operated by TeleEDge Healthcare, PLLC ("TeleEDge," "we," "us," or "our"), including teleedge-healthcare.com and the informational content and public contact features available through it (the "Website"). By accessing or using the Website, you agree to these Terms. If you do not agree, please do not use the Website.
1. Website Scope
The Website is intended to provide general information about TeleEDge, its business model, capabilities, and potential services for healthcare organizations and other stakeholders. These Terms apply only to the public Website unless a separate written agreement expressly states otherwise.
These Terms do not govern any future clinical platform, telehealth encounter, patient portal, provider portal, patient consent, professional services agreement, provider agreement, hospital or customer contract, or other service governed by separate terms or agreements.
2. No Physician-Patient Relationship Created by Website Use
Accessing the Website, reading its content, contacting TeleEDge, or submitting a general inquiry does not, by itself, create a physician-patient or other healthcare provider-patient relationship with TeleEDge, Dr. Bita Mansouri, or any physician or other clinician whose services may be coordinated or made available with assistance from TeleEDge.
Any physician-patient relationship that may arise in connection with an actual clinical encounter will be established and governed by the applicable clinical arrangements, consents, professional obligations, and agreements for that encounter.
3. Informational Purposes Only; No Medical Advice
Website content is provided for general informational and business purposes only. Nothing on the Website is intended to nor does it constitute medical advice, diagnosis, treatment, a clinical recommendation, or a substitute for consultation with a qualified healthcare professional.
Do not delay seeking or disregard professional medical advice because of information appearing on the Website.
4. Not for Medical Emergencies
The Website and its general contact form are not intended for medical emergencies, urgent clinical communications, or requests for immediate patient care. If you believe you or a loved one are or may be experiencing a medical emergency, call 911 or seek appropriate emergency medical care immediately.
5. The Website and Content Are Informational and Educational Resources
The Website may contain descriptions of specialty-care models, healthcare services, clinical workflows, technologies, specialties, medications, diagnostics, treatments, procedures, and other healthcare-related topics. Such information is provided for general informational and educational purposes and to describe TeleEDge's business capabilities. It is not individualized clinical guidance and must not be relied upon to determine the diagnosis, treatment, or care of any particular patient.
TeleEDge does not warrant that Website content is complete, current, or appropriate for any particular person, organization, clinical situation, payer arrangement, or jurisdiction. Healthcare information, clinical practices, technology, reimbursement rules, and regulatory requirements may change over time. Healthcare decisions must be individualized and must reflect the clinical judgment of the health professional providing care.
Provider Information
Information concerning participating physicians or other healthcare professionals, including without limitation specialty, qualifications, credentials, availability, practice information, or other professional information, is provided for general reference and operational purposes. Such information may change. TeleEDge clients should not rely exclusively on information TeleEDge provides; rather, they must obtain it from the clinician, practice, licensing or certification authorities, public databases, and other sources.
Procedures, Products, Medications, Diagnostics, and Services
No procedure, product, medication, diagnostic service, treatment, device, or healthcare service discussed on the Website is appropriate, available, covered, or suitable for every patient or clinical situation. Inclusion on the Website does not constitute a recommendation, guarantee of safety or effectiveness, prediction of outcome, or representation that a particular service will be safe, clinically indicated or available.
6. General Contact Form; Sensitive Information
The Website contact form is intended for general business inquiries. Users must not use the general Website contact form to submit medical records, protected health information, sensitive clinical information, financial information, or other information requiring confidential handling.
Submitting an inquiry does not guarantee a response, much less a timely response, nor does it establish a duty to provide care, or create an obligation to accept or arrange services.
7. Independent Clinical Judgment and Participating Physicians
Physicians whose services are made available with help from TeleEDge are independent contractors and not employees, agents, or servants of TeleEDge, except where a separate written agreement expressly provides otherwise. Such physicians are legally and ethically responsible for exercising their own independent professional medical judgment in the care of patients and in making clinical decisions.
TeleEDge does not control or attempt to influence the independent clinical judgment of such healthcare professionals. Clinical decisions, diagnoses, treatment recommendations, prescribing decisions, and other professional services are the responsibility of the clinician providing the professional service.
8. Important Information About Participating in Specialist Relationships
TeleEDge may help healthcare organizations and patients identify, coordinate with, schedule, or obtain access to participating specialists. TeleEDge's role in those activities does not make a participating specialist an employee or agent of TeleEDge and does not transfer responsibility for or control over the specialist's independent professional judgment to TeleEDge.
The availability of a participating specialist may depend on factors including specialty or subspecialty, licensure, location, scheduling, payer participation, contractual arrangements, organizational requirements, the specialist's capacity at relevant times, and clinical circumstances. A specialist's participation with TeleEDge does not constitute a guarantee that the specialist will be available for a particular patient, organization, service, or time period.
Unless a separate written agreement expressly provides otherwise, references to participating specialists on the Website are not intended to represent that TeleEDge controls the manner in which those specialists practice medicine or render professional services.
9. Provider Review; No Guarantee of Provider Performance
TeleEDge makes professionally reasonable efforts to review the qualifications of specialists whose services it helps make available and to identify information concerning licensure, professional standing, specialty training/qualifications, exclusions, restrictions, disciplinary history, or other credentials that TeleEDge determines appropriate for its role. TeleEDge may obtain such information from publicly available databases and registries, governmental and regulatory sources, professional organizations, information provided by the specialist, and other reasonably appropriate sources. None of the sources relied upon is infallible, nor always current, nor even in the aggregate are such sources necessarily comprehensive.
TeleEDge's review is intended as a risk-management and quality-support measure and is not a guarantee that every issue concerning a clinician's background, credentials, professional history, conduct, competence, or future performance will or can be identified.
TeleEDge does not guarantee that any clinician will in every instance comply with the applicable standard of care, applicable laws, regulations, ethical obligations, payer requirements, or institutional policies. Nothing on the Website is or should be interpreted as a warranty or guarantee regarding any particular clinician, any clinician's performance, or any clinical outcome.
10. Telemedicine and Other Clinical Services
TeleEDge's role may include operational or technology-enabled functions such as referral intake, specialist identification or matching, scheduling, coordination of information needed to facilitate referrals and consultations, care coordination, encounter tracking, or facilitating access to third-party telemedicine technology.
Professional medical services are furnished by the physician or other licensed healthcare professional participating in and responsible for the clinical encounter. TeleEDge does not direct, control or attempt to influence in any way the clinician's independent medical judgment. TeleEDge does not listen to, monitor, or participate in communications between a patient and an independent clinician during a clinical encounter, whether the encounter occurs through technology facilitated by TeleEDge or through technology provided by the clinician or a third party. TeleEDge may, however, facilitate the transmission of information or documentation relating to an encounter as necessary for care coordination, operational purposes, or as otherwise authorized or required by applicable law or agreement.
TeleEDge is not responsible for the substance or tone of communication between a patient and an independent clinician or for the clinician's acts or omissions, except to the extent otherwise required by applicable law or expressly provided by a separate written agreement.
11. Acceptable Use
You agree to use the Website only for lawful purposes. You may not:
- use the Website in a manner that violates applicable law or the rights of another person or entity;
- submit false, fraudulent, threatening, harassing, discriminatory, defamatory, obscene, or otherwise unlawful material;
- attempt to gain unauthorized access to the Website, its systems, data, or related networks;
- introduce malware, malicious code, or other material intended to interfere with Website operation or security;
- use automated or other means to scrape, harvest, copy, or extract Website content or data except as permitted by law or with TeleEDge's written authorization; or
- impersonate another person or misrepresent your affiliation with any person or organization.
12. Your Use of Content; Intellectual Property
Subject to these Terms, TeleEDge grants you a limited, revocable, non-exclusive, non-transferable, and non-sublicensable right to access and use the Website and its content for lawful informational purposes.
The Website and its original content, design elements, graphics, logos, text, workflows, diagrams, and other materials are owned by or licensed to TeleEDge Healthcare, PLLC and may be protected by copyright, trademark, and other laws. Except as permitted by applicable law or expressly authorized in writing by TeleEDge, Website materials may not be reproduced, distributed, modified, republished, commercially exploited, sold, licensed, systematically collected, or used to create derivative works.
No right, title, or interest in the Website or its content is transferred to you by virtue of your access to or use of the Website. Any rights not expressly granted are reserved by TeleEDge and the applicable rights holders.
13. Third-Party Websites, Platforms, Software, and Services
The Website may contain links to third-party websites, platforms, resources, or services. TeleEDge does not control or influence those third parties or their sites and is not responsible for their content, accuracy, availability, privacy practices, security, or terms, all of which are subject to change at any time without notice to TeleEDge. TeleEDge's Website, and services described on the Website, may rely upon or interoperate with third-party software or technology, which may include website hosting, security tools, communications technology, scheduling tools, electronic health record or health-information-exchange technology, video or telemedicine platforms, and other third-party systems. Such third-party software or technology may be governed by additional terms, privacy policies, licenses, or notices established by the applicable provider.
TeleEDge does not control third-party software and does not warrant its continuous availability, accuracy, security, functionality, or suitability. To the fullest extent permitted by applicable law, TeleEDge disclaims and denies responsibility for losses arising solely from the acts, omissions, failures, or practices of a third-party software or technology provider that TeleEDge does not control.
14. Website Availability and Accuracy
TeleEDge seeks to provide useful and accurate information but does not warrant that Website content will always be complete, current, error-free, or continuously available. TeleEDge may change, suspend, remove, or update Website content or functionality without notice.
15. Disclaimer of Warranties

16. Limitation of Liability
TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, AND REGARDLESS OF THE THEORY OF LIABILITY, INCLUDING WITHOUT LIMITATION CONTRACT AND TORT, TELEEDGE AND ITS MEMBERS, MANAGERS, OFFICERS, EMPLOYEES, AGENTS, AND REPRESENTATIVES WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES ARISING FROM OR RELATING TO USE OF, OR INABILITY TO USE, THE PUBLIC WEBSITE.
TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, AND BECAUSE FIXING ACTUAL DAMAGES WOULD BE IMPRACTICABLE OR EXTREMELY DIFFICULT, THE TOTAL AGGREGATE LIABILITY OF TELEEDGE AND ITS MEMBERS, MANAGERS, OFFICERS, EMPLOYEES, AGENTS, AND REPRESENTATIVES FOR ANY CLAIM ARISING OUT OF OR RELATING TO THE PUBLIC WEBSITE OR THESE TERMS WILL NOT EXCEED ONE HUNDRED U.S. DOLLARS ($100) AS FAIR AND REASONABLE LIQUIDATED DAMAGES AND NOT AS A PENALTY.

The limitations in this Section apply to the fullest extent permitted by applicable law even if TeleEDge has been advised of the possibility of such damages.
17. Indemnification
To the fullest extent permitted by applicable law, you agree to indemnify, defend, and hold harmless TeleEDge Healthcare, PLLC and its members, managers, officers, employees, agents, and representatives from and against claims, liabilities, damages, judgments, losses, costs, and expenses, including reasonable attorneys' and expert witnesses' fees, arising out of or relating to (a) your unlawful, unauthorized, or improper use of the Website; (b) your violation of these Terms; (c) information or material you submit through the Website in violation of these Terms or applicable law; or (d) your violation of the rights of another person or entity.
TeleEDge reserves the right, at its own expense, to assume the exclusive defense and control of any matter otherwise subject to indemnification by you, in which event you agree to cooperate reasonably with TeleEDge in the defense of the matter.
18. Privacy

19. Changes to These Terms
TeleEDge may revise these Terms from time to time. Updated Terms will be posted on the Website with a revised effective date. Terms displayed at any given time are current then.
20. Age Restriction

21. Dispute Resolution; Arbitration; Class Action Waiver
PLEASE READ THIS SECTION CAREFULLY. IT CONTAINS PROVISIONS FOR BINDING ARBITRATION AND WAIVER OF JURY AND BENCH TRIAL. YOUR ACCEPTANCE OF THE TERMS INCLUDES YOUR ACCEPTANCE OF AND AGREEMENT TO SUCH PROVISIONS. WHEN ARBITRATION IS INVOKED FOR CLAIMS SUBJECT TO ARBITRATION, YOU AND WE WILL NOT HAVE THE RIGHT TO PURSUE THAT CLAIM IN COURT OR HAVE A JURY DECIDE THE CLAIM, AND YOU WILL NOT HAVE THE RIGHT TO BRING OR PARTICIPATE IN ANY CLASS ACTION OR SIMILAR PROCEEDING IN COURT OR IN ARBITRATION.
Negotiation in Advance or Arbitration: The parties shall attempt in good faith to resolve any dispute arising out of or relating to the Terms promptly by negotiation. Any party may give the other party written notice of any dispute not resolved in the normal course of business. Within 15 days after delivery of the notice, the receiving party shall submit to the other a written response. The notice and response shall include with reasonable particularity (a) a statement of each party's position and a summary of arguments supporting that position, and (b) the name and title, if any, of the person who will represent that party. A party may represent itself. Within 30 days after delivery of the notice, the representatives of both parties shall meet at a mutually acceptable time in Richmond, Virginia, unless the parties agree otherwise or applicable law requires another location or procedure. If the matter is not resolved by negotiation pursuant to this paragraph, then the matter will proceed to mediation as set forth below.
Arbitration Procedure if Negotiations do not Resolve the Dispute:
Except for disputes that applicable law does not permit to be arbitrated, claims seeking only temporary or preliminary injunctive relief, or claims concerning the ownership, misuse, or infringement of intellectual-property rights, any dispute, claim, or controversy arising out of or relating to the Website, these Terms, or the relationship between you and TeleEDge shall be resolved by binding arbitration on an individual basis rather than in court, if and to the extent this provision is enforceable under applicable law.
The arbitration shall be administered by one arbitrator and shall take place in Richmond, Virginia, unless the parties agree otherwise or applicable law requires another location or procedure. The arbitration shall be administered by JAMS pursuant to its Streamlined Arbitration Rules and Procedures. Judgment on the Award may be entered into any court having jurisdiction. This clause shall not preclude parties from seeking provisional remedies in aid of arbitration from a court of appropriate jurisdiction. The arbitrator shall have authority to award any individual remedy or relief that would otherwise be available in a court of competent jurisdiction, subject to these Terms and applicable law. In any arbitration arising out of or related to these Terms, the arbitrator(s) shall award to the prevailing party, if any, the costs and attorneys' fees reasonably incurred by the prevailing party in connection with the arbitration.
TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, YOU AND TELEEDGE AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN AN INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS, MASS, COLLECTIVE, CONSOLIDATED, OR REPRESENTATIVE PROCEEDING. THE ARBITRATOR MAY NOT CONSOLIDATE MORE THAN ONE PERSON'S CLAIMS OR OTHERWISE PRESIDE OVER A CLASS, MASS, COLLECTIVE, CONSOLIDATED, OR REPRESENTATIVE PROCEEDING EXCEPT AS REQUIRED BY APPLICABLE LAW.
22. Governing Law and Venue
These Terms and any dispute arising out of or relating to the Website or these Terms will be governed by the laws of the Commonwealth of Virginia, without regard to its conflict-of-laws or choice of law principles.
23. General Provisions
Entire Agreement
These Terms, together with the Privacy Policy and any other terms expressly incorporated by reference, constitute the entire agreement between you and TeleEDge concerning your use of the public website and supersede prior or contemporaneous understandings concerning that subject matter.
Severability
If any provision of these Terms is determined to be invalid, illegal, or unenforceable, that provision shall be enforced to the maximum extent permitted by law, and the remaining provisions will remain in full force and effect, except to the extent a different result is required by applicable law.
No Waiver
TeleEDge's failure to enforce any provision of these Terms does not constitute a waiver of that provision or of TeleEDge's right to enforce it later.
Assignment
You may not assign or transfer your rights or obligations under these Terms without TeleEDge's prior written consent. TeleEDge may assign these Terms in connection with a merger, reorganization, sale of assets, financing, or other business transactions, subject to applicable law.
Survival
Provisions that by their nature should survive termination or cessation of Website use will survive, including without limitation provisions concerning intellectual property, disclaimers, limitation of liability, indemnification, dispute resolution, governing law, and general provisions.

Section headings are provided for convenience only and do not affect interpretation of these Terms.
Electronic Communications
When you communicate with TeleEDge electronically through the Website or by email, you consent to receive communications from TeleEDge electronically in response to that communication, subject to applicable law and TeleEDge's Privacy Policy.
